Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Structurify ("Service"), a document data extraction platform operated by Structurify ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Structurify is an AI-powered document extraction platform that enables users to:

• Define structured extraction schemas (templates)
• Upload and process documents
• Extract structured data using artificial intelligence
• Export data in various formats (CSV, JSON, API/webhook)

3. Account & Access

3.1 Access Method

Access to the Service is provided through Microsoft Entra ID authentication using your Microsoft account. You are responsible for maintaining the security of the account used for authentication.

3.2 Initial Credits

Upon first access, you will be provisioned credits based on your email domain:

• Corporate/business email domains: 50 credits
• Public email providers: 10 credits

Initial credits are provided at our discretion and may be modified or discontinued at any time.

3.3 Account Responsibilities

You agree to:

• Provide accurate information
• Not share or transfer access to others
• Notify us immediately of any unauthorized access
• Use the Service only for lawful purposes

4. Credits & Billing

4.1 Credit Consumption

• Each document processed consumes one (1) credit
• Credits are deducted upon successful extraction completion
• Failed extractions due to system errors do not consume credits
• Credits are non-refundable once consumed

4.2 Purchasing Credits

• Additional credits may be purchased through the Service
• All purchases are final and non-refundable except as required by law
• Prices are subject to change with reasonable notice
• Payment is processed securely through our payment provider

4.3 Credit Validity

• Purchased credits do not expire
• Your account remains accessible regardless of credit balance
• A zero credit balance limits extraction functionality but retains access to existing data

5. Your Data

5.1 Ownership

You retain all rights to documents you upload and data extracted from them. We claim no ownership over your content.

5.2 License Grant

You grant us a limited license to process your documents solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.

5.3 Data Location

Your documents and extracted data are stored using Cloudflare's global edge infrastructure. See our Privacy Policy for details.

5.4 Data Retention

• Active workspace data is retained indefinitely while your account is active
• You may delete documents and extracted data at any time
• Upon account deletion request, all data is permanently removed within 30 days

5.5 AI Training

6. Acceptable Use

You agree not to use the Service to:

• Process documents you do not have rights to
• Upload illegal, fraudulent, or harmful content
• Attempt to reverse engineer or compromise the Service
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others

7. Service Availability

7.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranty of any kind.

7.2 Modifications

We may modify, suspend, or discontinue any part of the Service with reasonable notice. Material changes will be communicated via email or in-app notification.

8. Limitation of Liability

8.1 Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.3 Exclusions

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Documents or content you upload

10. Termination

10.1 By You

You may stop using the Service at any time. To delete your account and data, use the Privacy & Data settings or contact support@structurify.ai.

10.2 By Us

We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice, except in cases of severe violation where immediate termination may occur.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases. You may request export of your data within 30 days of termination.

11. General Provisions

11.1 Governing Law

These Terms are governed by applicable laws, without regard to conflict of law principles.

11.2 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable Data Processing Addendum, constitute the entire agreement between you and the Company.

11.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

11.4 Changes to Terms

We may update these Terms from time to time. Continued use after changes constitutes acceptance. Material changes require re-acceptance.
